These Terms and Conditions (“Terms”) govern access to https://intelligic.org and related sites we operate, including product sites such as DutyFlex, and every purchase of services, software subscriptions, or digital products from Intelligic Solutions (“Intelligic”, “we”, “us”, or “our”).
We sell three kinds of offering: custom services, subscription products, and one-time marketplace licences. The sections below apply to all of them. Where a section is labelled for one offering, that section prevails for that purchase.
By browsing this website, requesting a quote, placing an order, making a payment, or using our products, you agree to these Terms and to our Privacy Policy and Refund Policy. If you do not agree, do not use the site or complete a payment.
1. Merchant details

2. What we sell
Intelligic is a Mumbai web development company. Depending on the order, we sell one or more of the following. There is no physical inventory and no courier shipment unless a statement of work says otherwise.
- Custom professional services: website design and development, ecommerce, mobile apps, UI UX, branding, SEO, maintenance, and related digital work commissioned through intelligic.org
- First-party software subscriptions such as DutyFlex (attendance management) and other products listed on the Products page
- Digital marketplace items such as website templates, themes, and UI kits listed on the Marketplace page — one-time licence purchases
- Support, onboarding, or maintenance retainers agreed in writing
3. Eligibility and accounts
You must be at least 18 years old and legally able to enter a contract in India. If you buy on behalf of a company, you confirm you are authorised to bind that company.
You are responsible for keeping account and billing information accurate — name, email, phone, billing address, and GST information if you ask for a tax invoice. Failed or delayed delivery caused by wrong contact details is your responsibility. For subscription products, outdated billing details may result in suspension of access.
4. Quotes, orders, and acceptance
Prices, plans, and product descriptions on the website are invitations to treat, not a binding offer. A custom project starts only after we accept a written brief, proposal, or statement of work and you pay the agreed advance (unless we agree otherwise in writing). Confirming or accepting a proposal is acceptance of these Terms for that engagement.
Marketplace and subscription checkouts are accepted when the payment gateway confirms a successful transaction and we send a confirmation email or grant access. We may refuse or cancel an order that looks fraudulent, incomplete, or outside our capacity, and will refund any amount actually captured.
5. Payments and payment gateway
We accept payments in Indian Rupees (INR) through RBI-authorised payment aggregators and banks. Typical methods include UPI, credit card, debit card, net banking, wallets, and NEFT/IMPS/RTGS bank transfer, as enabled at checkout.
Card, UPI, and net-banking payments are processed by the payment gateway on an encrypted page. We do not collect, store, or have access to your full card number, CVV, PIN, or UPI PIN. The gateway’s own terms and privacy policy also apply to that transaction.
A payment is complete only when the gateway or bank marks it successful and the amount is credited to us. A “pending”, failed, or cancelled status is not a completed purchase. If money is debited on a failed attempt, see the Refund Policy.
Listed prices are exclusive of GST (currently 18%, or the rate applicable at the time of billing) and any other tax required by Indian law. You agree to provide a valid GSTIN if you want a GST invoice in your business name.
Custom work is billed as an advance plus milestones, as described in section 7. Subscriptions renew for the plan you selected (monthly or yearly) until cancelled. Marketplace licences are a one-time payment unless the listing says otherwise.
6. Delivery (digital goods and services)
We do not ship physical parcels for website purchases. Delivery is electronic.
- Custom services are delivered to the emails, repositories, hosting, or staging URLs named in the statement of work, on the agreed timeline
- Marketplace templates, themes, and kits are delivered by email, download link, licence key, or repository access after successful payment, usually within one business day
- Software subscriptions are delivered by account access, licence key, or login credentials sent to the email used at checkout, usually immediately or within a few hours of successful payment
7. Custom services
This section applies when you engage us for website, portal, app, design, SEO, or similar project work through intelligic.org.
Quoted amounts are exclusive of GST and, once work has commenced, are refundable only as set out in the Refund Policy.
- A 50% advance is required to start the project. 35% is payable when the project is halfway complete. The remaining balance is payable before delivery.
- Work starts within two days of receiving the initial payment.
- You must supply the content, text, graphics, data, and access the project needs. Delay in supplying these delays the timeline by the same amount.
- The final, descriptive scope is confirmed after discussion and due diligence. Work beyond that scope, or major UI or functional changes requested mid-project, is charged extra and may change the timeline.
- Delays caused by third-party services outside our control — for example a payment-gateway integration, domain registrar, or hosting provider — may extend the estimate.
- Ongoing maintenance, where you subscribe to it, covers keeping the site, portal, or app current: text, images, and minor script updates. Redesigns are billed separately at our design rate.
- You warrant that content, trademarks, and assets you give us are owned by you or properly licensed, and you will indemnify Intelligic against claims arising from that material.
8. Software subscriptions
This section applies to subscription products listed on Intelligic, including DutyFlex and any later first-party product sold on a recurring plan.
Access is granted for the billing cycle you select at checkout (monthly or annual) and continues until you cancel or we terminate the account. Fees are billed in advance for each cycle.
A subscription product may publish its own Terms of Service on the product site. Those product terms take precedence for that product. For DutyFlex, see the legal pages on the DutyFlex site at https://dutyflex.com.
We may update product features, pricing, or these Terms from time to time. Material changes will be notified in advance by email or in-app notice. Continued use after that notice is acceptance of the change.
Misuse — including attempts to circumvent licensing or seat limits, reverse-engineer the product, or resell access — may result in immediate termination without refund.
9. Marketplace products
This section applies to one-time purchases from the Marketplace page: templates, themes, UI kits, and similar digital items.
The listed price is a one-time payment for a single licence or copy, exclusive of GST. Ownership of the underlying intellectual property stays with Intelligic unless a separate written agreement transfers it. Your purchase grants a licence to use the product as the listing describes.
Descriptions, screenshots, and specifications are given in good faith. Minor differences between the listing and the delivered files — for example a version update — are not a breach of these Terms.
You may not resell, sublicense, or redistribute the product unless the listing expressly allows it. Support, if offered, is limited to what the listing states (for example bug fixes for a defined period) and does not include custom feature development.
10. Your responsibilities
Across all offerings, you agree to:
- Provide content, brand assets, access, and timely feedback needed to do custom work
- Make sure you have rights to materials you send us
- Use finished work, licences, and subscriptions only as the contract or listing allows
- Keep login credentials confidential and notify us of unauthorised use
- Keep checkout and account details current so we can deliver access and invoices
11. Intellectual property
Until invoices for a custom project are paid in full, we retain ownership of the work product. After full payment, you own the project-specific designs, code, and content we created for you, except for third-party tools, open-source libraries, fonts, stock, and our internal frameworks or starter kits. Those stay with their owners and are licensed, not sold.
Marketplace items are licensed, not sold. A standard licence covers one production project unless the listing or invoice says otherwise. You may not resell, redistribute, or offer the files as your own template.
DutyFlex and other first-party products remain our intellectual property. A subscription gives you a limited, non-exclusive, non-transferable right to use the product for your organisation during the paid term. Data you enter into a subscription product (for example attendance records in DutyFlex) remains yours.
The Intelligic name, logos, and site content are our property. You may not copy them except as needed to use the site.
12. Acceptable use
You must not use the site, products, or services for unlawful, harmful, or fraudulent purposes; to infringe others’ rights; to probe or disrupt our systems; or to process payments that you are not authorised to make. We may suspend access if we reasonably believe these Terms have been broken.
13. Warranties and disclaimers
We deliver professional work with reasonable skill and care. Websites, apps, and software depend on hosting, browsers, app stores, third-party APIs, and your own content. We do not guarantee uninterrupted availability, specific search rankings, or a particular commercial result unless a signed agreement says so.
Marketplace files and software are provided as described on their listing. We will replace a corrupt or incomplete download where we can. We do not warrant that a template will fit every stack or that a subscription will be error-free.
To the fullest extent allowed by Indian law, we disclaim implied warranties of merchantability and fitness for a particular purpose.
14. Limitation of liability
Nothing in these Terms limits liability that cannot be limited under Indian law, including fraud or personal injury caused by negligence.
Subject to that, we are not liable for indirect, incidental, special, or consequential loss, lost profits, lost data, or business interruption arising from use of the site, a product, or a service. Our total liability for a claim is limited to the amount you paid us for the specific order or subscription period that gave rise to the claim.
15. Indemnity
You will indemnify Intelligic against claims, losses, and reasonable legal costs arising from your misuse of the site or products, materials you supply, or your breach of these Terms.
16. Changes and termination
We may update these Terms to reflect products, law, or payment-gateway requirements. The “Last updated” date at the top will change. Continued use after an update is acceptance of the new Terms. Material changes that affect an active paid contract will not apply retrospectively unless the law requires it or you agree. For subscription products, material changes will also be notified as described in section 8.
You may stop using the site at any time. Subscription cancellation and refunds are described in the Refund Policy. We may suspend or end access for non-payment, abuse, licensing circumvention, or legal risk.
17. Governing law and disputes
These Terms are governed by the laws of India. Courts in Mumbai, Maharashtra have exclusive jurisdiction, without affecting any non-waivable consumer rights you may have.
